1. Introduction

Please read these terms carefully before proceeding. If you do not agree with any part of these terms, you should not use our website or engage our services.

These Terms & Conditions apply to all clients, visitors, and users of Aarivs Consulting LLC services. References to "Aarivs," "we," "us," or "our" refer to Aarivs Consulting LLC. References to "Client," "you," or "your" refer to the party engaging our services.

2. Services

Aarivs Consulting LLC provides professional consulting services including but not limited to:

• Product strategy and vision development
• AI and data product consulting
• Product execution and delivery management
• Growth strategy and optimization
• Go-to-market strategy and planning
• Agile coaching and team leadership
• Digital transformation advisory

The specific scope of services for each engagement will be defined in a separate Statement of Work (SOW) or consulting agreement signed by both parties. In the event of any conflict between these Terms and a signed SOW, the SOW shall take precedence.

3. Engagement Terms

How Engagements Begin

All consulting engagements commence upon execution of a signed Statement of Work (SOW) or consulting agreement, and receipt of any required deposit or retainer payment.

Scope of Work

Each engagement will have a clearly defined scope. Any work requested outside the agreed scope will be treated as a change request and may be subject to additional fees and timeline adjustments.

Client Responsibilities

• Provide timely access to relevant information, data, and stakeholders
• Designate a primary point of contact for the engagement
• Review and provide feedback on deliverables within agreed timelines
• Make payments according to the agreed schedule

Timelines

Project timelines are estimates based on information available at the time of scoping. Delays caused by the Client's failure to provide required information or feedback may result in timeline adjustments without penalty to Aarivs Consulting LLC.

4. Payment Terms

Fees

Consulting fees are outlined in the applicable SOW or proposal. All fees are quoted in US Dollars (USD) unless otherwise specified.

Payment Schedule

• A deposit of 50% is required to commence work unless otherwise agreed in writing
• Remaining balance is due upon project completion or as outlined in the SOW
• Retainer engagements are invoiced monthly in advance

Payment Due Dates

All invoices are due within Net 15 (15 days) of the invoice date unless otherwise agreed in the SOW.

Late Payments

Invoices not paid within the due date may incur a late fee of 1.5% per month on the outstanding balance. Aarivs Consulting LLC reserves the right to pause work on active engagements until overdue invoices are settled.

Refunds

Deposits are non-refundable once work has commenced. Refund requests for work not yet started will be considered on a case-by-case basis.

5. Intellectual Property

Client Deliverables

Upon receipt of full payment, the Client owns all custom deliverables created specifically for their engagement, including product roadmaps, strategy documents, and reports.

Aarivs Methodology

Aarivs Consulting LLC retains ownership of all proprietary frameworks, methodologies, templates, and tools used in the delivery of services. These remain the intellectual property of Aarivs Consulting LLC regardless of their use in Client deliverables.

Pre-existing IP

Each party retains ownership of intellectual property created prior to or independently of the engagement. Nothing in these Terms transfers ownership of pre-existing IP.

Portfolio Rights

Aarivs Consulting LLC may reference the Client engagement in general terms (without disclosing confidential information) for portfolio and marketing purposes, unless the Client requests otherwise in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement.

• Aarivs Consulting LLC will not disclose Client's confidential business information to third parties without written consent
• The Client agrees not to disclose Aarivs' proprietary methodologies, frameworks, or pricing to third parties
• Confidentiality obligations survive the termination of the engagement for a period of 3 years

Where a more comprehensive confidentiality arrangement is required, a separate Non-Disclosure Agreement (NDA) may be executed by both parties.

7. Limitation of Liability

Aarivs Consulting LLC shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Damages resulting from the Client's implementation of recommendations
• Third-party actions or failures beyond our reasonable control

8. Warranties & Disclaimers

Aarivs Consulting LLC warrants that:

• Services will be performed with reasonable skill and care
• We have the right to provide the services described
• Deliverables will be original work or properly licensed

We do not warrant or guarantee specific business outcomes, revenue growth, or market results from our consulting services. Product and business outcomes depend on many factors beyond our control, including Client execution and market conditions.

9. Termination

Termination by Client

The Client may terminate an engagement with 14 days written notice. The Client remains responsible for payment of all work completed up to the termination date, plus any non-cancellable costs incurred.

Termination by Aarivs

Aarivs Consulting LLC may terminate an engagement immediately if:

• The Client fails to make payment within 30 days of the due date
• The Client breaches any material term of these Terms or the SOW
• Continuing the engagement would require us to act unlawfully or unethically

Effect of Termination

Upon termination, Aarivs will deliver all completed work product to the Client. Provisions relating to payment, intellectual property, confidentiality, and liability survive termination.

10. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the United States and the state in which Aarivs Consulting LLC is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or our services that cannot be resolved informally shall be submitted to binding arbitration in accordance with applicable arbitration rules, or resolved in the courts of competent jurisdiction in our state of registration.

Both parties agree to attempt good-faith resolution of any dispute before initiating formal proceedings.

11. Changes to Terms

Aarivs Consulting LLC reserves the right to update these Terms & Conditions at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date.

For active client engagements, material changes to terms will be communicated directly. Continued use of our services after changes constitutes acceptance of the updated terms.
